THE UNREASONABLE HOSPITALITY SUMMIT TERMS & CONDITIONS
These terms and conditions (these “Terms”) govern your registration for, attendance at, and participation in the Unreasonable Hospitality Summit (the “Event”), scheduled to be held on May 22 – 23, 2025 (the “Event Date”), and take place at the Four Seasons Hotel Nashville, located at 100 Demonbreun Street, Nashville, TN 37201 (the “Venue”). The Event will be hosted, organized, and operated by Thank You NYC, LLC, a Delaware limited liability company (“Unreasonable Hospitality”). By registering for, attending, and/or participating in the Event, you agree to these Terms, which form a binding legal contract between Unreasonable Hospitality and the registered participant (“you” or a “Participant”).
If you are registering for the Event on behalf of another individual, it is your responsibility to ensure the person participating is aware of these Terms and accepts them. By completing the registration on behalf of another individual, you are warranting that you have made such individual aware of these Terms and that such individual has accepted these Terms. For the avoidance of doubt, such individual shall be considered a “Participant” or “you” for purposes of these Terms.
1. Registration; Entry to the Event
1.1 Admittance. Your confirmed ticket and registration entitle you to admittance to the Event. Any and all other costs associated with your attendance at the Event (including, without limitation, any travel or accommodation expenses) shall be borne solely by you, and Unreasonable Hospitality shall have no liability for such costs. You may purchase up to eight (8) tickets for the Event, unless otherwise agreed to in writing by Unreasonable Hospitality in its sole discretion.
1.2 Age. All Participants must be at least 13 years of age or older to register for, participate in, or attend the Event. Children under the age of 13 years old are not permitted to register for, participate in, or attend the Event. Further, if you are under the age of 18 (or have not yet reached the age of majority in your jurisdiction), you must obtain consent from your legal guardian before registering for, participating in, or attending the Event.
1.3 Participant Conduct. Participants are expected to conduct themselves in a respectful and appropriate manner at the Event. You acknowledge and agree that Unreasonable Hospitality (or its authorized representatives) reserves the right, at its sole discretion, to deny entry to or remove from the Event any Participant whose behavior disrupts the Event or negatively impacts the experience of others. This includes, but is not limited to, disruptive, unlawful, inappropriate, violet, or aggressive behavior, intoxication, the use of offensive or abusive language toward Event or Venue staff, representatives, or other Participants, possession of prohibited items, or failure to adhere to the rules, policies, or directions of Unreasonable Hospitality or the Venue. The exercise of Unreasonable Hospitality’s refusal or removal of you from the Event does not entitle you to any refund, in whole or in part, of any kind.
1.4 Recording, Live Streaming, and Videotaping. You may not record or broadcast audio or video all or any portion of the Event without Unreasonable Hospitality’s prior written consent.
1.5 Disclaimer of Viewpoints and Materials. Views expressed by any Participant, speaker, or other third party in attendance at the Event are their own. Unreasonable Hospitality shall have no liability for advice given or views expressed by any Participant, speaker, or any other third party in attendance at the Event or in any material provided to Participants. Further, Unreasonable Hospitality makes no warranty of any kind whatsoever, expressed or implied, that any information or materials, or anything else presented at the Event is accurate, valid, adequate, or fit for any purpose whatsoever.
2. Fees. The payment of the applicable fees for the ticket and registration for the Event (the “Fee”) is due upon registration. If such payment is insufficient or declined for any reason, Unreasonable Hospitality reserves the right to refuse to admit you to the Event and shall have no liability to you in any regard. The Fee may be subject to sales tax, value-added tax, or any other taxes and duties which, if applicable, will be charged to you in addition to the Fee. By purchasing a ticket and registering for the Event, you represent and warrant that you have the authority to authorize charges to the credit card or other method of payment provided.
3. Refund Policy. Once you purchase a ticket for the Event, you will have 48 hours from the time such ticket was purchased (the “Grace Period”) to request a full refund of the Fee, less any payment processing fees. Following the Grace Period, all ticket sales are final and non-refundable, and Unreasonable Hospitality will not issue any refunds or credits, either in whole or in part, of any kind or for any reason.
4. Transfer Policy. If you would like to transfer your ticket to the Event for any reason to another individual, you may transfer such ticket by emailing info@unreasonablehospitality.com and providing the name and email address of the desired transferee (the “Transfer Notice”). The Transfer Notice must be received by Unreasonable Hospitality no later than seven (7) days prior to the first day of the Event Date. Unreasonable Hospitality reserves the right to deny any ticket transfer for any reason at its sole discretion.
5. Event Modifications, Cancellation, Rescheduling.
5.1 Event Modifications. You acknowledge and agree that Unreasonable Hospitality reserves the right, in its sole discretion, to modify any aspect of the Event, including but not limited to, the Event’s name, themes, content, program, speakers, performers, hosts, moderators, venue, dates, and time, with or without notice to you.
5.2 Force Majeure. Unreasonable Hospitality shall not be held responsible or liable for any delay, modification, rescheduling, or cancellation of the Event or the performance of its obligations hereunder due to circumstances beyond its reasonable control, including, without limitation: (i) storm, flood, fire, earthquake, or other acts of God; (ii) war, invasion, hostilities, terrorist threats or acts, riot, or other civil unrest or violence; (iii) any disease, epidemic or pandemic, including novel coronavirus COVID-19 (together with any mutation, adaptation, or variation thereof), (iv) embargoes or blockades; (v) national or regional emergency; (vi) strikes, labor stoppages, or slowdowns or other industrial disturbances; (vii) any order or guidance from any governmental or quasi-governmental organization, including without limitation in regard to travel, public gatherings, or health and safety; (viii) disruptions in supply chains, hotel inventory, commercial air travel or other public transportation; (ix) failure of carriers or utilities or equipment beyond Unreasonable Hospitality’s reasonable control; (x) unavailability of the Venue through no fault of Unreasonable Hospitality; or (xi) other similar causes beyond the reasonable control of Unreasonable Hospitality (each, a “Force Majeure Event”). In the event of a Force Majeure Event, Unreasonable Hospitality may, at its discretion provide an alternative venue or format for the Event, reschedule the Event, or cancel the Event without liability or further obligation to you.
5.3 No Refunds. If the Event is modified, rescheduled, or canceled for any reason, including due to a Force Majeure Event, you acknowledge and agree that: (i) no refunds (full or partial) will be issued to you; (ii) you may transfer your ticket to an alternative Unreasonable Hospitality-hosted event within 12 months of the original Event Date, provided you submit a written request to info@unreasonablehospitality.com within 48 hours of Unreasonable Hospitality’s email notification to you at the email address you provided during registration, subject to availability and at Unreasonable Hospitality’s sole discretion; and (iii) Unreasonable Hospitality is not responsible for any damages, costs, or losses you may incur, including but not limited to travel, accommodation, or financial expenses.
6. Intellectual Property. All intellectual property and proprietary rights related to the Event, including but not limited to trademarks, logos, slogans, taglines, copyrights, trade dress, designs, photographs, audiovisual content, presentations, written materials, recordings, digital and printed promotional materials, and any other content created, distributed, or used in connection with the Event (collectively, the “Event IP”), are exclusively owned by or licensed to Unreasonable Hospitality. You agree not to use, reproduce, distribute, or allow any third party to use, distribute, or reproduce, any Event IP for any reason or purpose without the prior written consent of Unreasonable Hospitality. All rights, title, and interest in and to the Event IP shall remain solely with Unreasonable Hospitality, and no license, right, or interest in any Event IP is granted to you, either expressly or impliedly, by these Terms.
7. Photo, Video, and Media Consent and Release. By attending the Event, you acknowledge and agree that Unreasonable Hospitality and its affiliates, subsidiaries, sponsors, media partners, and authorized representatives (collectively, the “Authorized Parties”) may capture, record, and use photographs, videos, audio recordings or other media of you during the Event (collectively, the “Event Media”). You hereby grant the Authorized Parties a perpetual, irrevocable, worldwide, royalty-free, sub-licensable, and transferable license to use, reproduce, copy, distribute, display, publish, perform, broadcast, transmit, adapt, modify, edit, alter, create derivative works from, and otherwise exploit the Event Media, in whole or in part, for any lawful purpose, including but not limited to commercial, promotional, marketing, educational, archival, and editorial purposes; use your image, likeness, voice, name (if applicable), statements, and biographical information in connection with the Event Media, without restriction; and use the Event Media in any and all formats, media, or technology, whether now known or later developed, including but not limited to websites, social media, advertising, print publications, broadcasts, merchandise, and promotional materials. To the fullest extent permitted by applicable law, you: (i) waive any and all rights to inspect, approve, or receive compensation for the use of Event Media; (ii) release and discharge the Authorized Parties from any claims, demands, or liabilities arising from or related to the Authorized Parties’ use of Event Media, including but not limited to claims of invasion of privacy, rights of publicity, defamation, misappropriation, and intellectual property infringement; and (iii) acknowledge that you will not be identified by name in the Event Media unless you provide explicit consent, except where legally required.
8. Assumption of Risk and Health Safety. You acknowledge and agree that your attendance at the Event is voluntary and may expose you to certain risks, including but not limited to illness (including communicable diseases such as COVID-19 or any variant thereof), personal injury, and property damage. You fully understand that COVID-19 is an extremely contagious disease that may result in severe illness, disability, or death, and that attending the Event may increase the risk of exposure. By attending the Event, you voluntarily assume all risks associated with exposure to COVID-19 or any other communicable disease, regardless of the cause, including risks arising from the actions, omissions, or negligence of Unreasonable Hospitality, the Venue, and any UH Party (as defined herein). You accept full personal responsibility for your participation in the Event and any consequences that arise from your attendance at the Event. To the maximum extent permitted by applicable law, you, on behalf of yourself and any related persons, hereby irrevocably release, waive, and discharge Unreasonable Hospitality, its parents, subsidiaries, affiliates, and their respective directors, officers, managers, members, employees, shareholders, licensors, partners, contractors, representatives, personnel, and agents (collectively, the “UH Parties”) from any and all claims, liabilities, or damages arising out of or related to your exposure to COVID-19 or any other illness at the Event, including claims arising from the negligence of any UH Party.
9. Limitation of Liability. To the fullest extent permitted by applicable law, the UH Parties shall not be liable for any direct, indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to personal injury, illness, property damage, lost profits, or loss of enjoyment, arising out of or related to your attendance at, participation in, or inability to attend the Event. This limitation applies regardless of foreseeability and regardless of the legal or equitable theory upon which the claim is based, including but not limited to warranty, contract, tort (including negligence), or strict liability. The UH Parties shall not be responsible for the acts, omissions, or conduct of third parties, including vendors, speakers, attendees, or Venue personnel at the Event. In jurisdictions that do not allow certain liability exclusions, the UH Parties’ liability shall be limited to the fullest extent permitted by law. In no event shall the UH Parties’ total aggregate liability exceed the amount of the Fee actually paid by you for the Event. Under no circumstances shall attorneys' fees be awarded or recoverable by you.
10. General Waiver and Release of Claims. To the fullest extent permitted by applicable law, you, on behalf of yourself and any related persons, irrevocably waive and release all legal and equitable rights related to any and all claims, known or unknown, now or in the future, in any jurisdiction, including but not limited to rights of privacy, publicity, intellectual property claims, and damages of any kind. This waiver applies whether or not such claims arise from the negligence of the UH Parties. You further covenant not to make or bring any such claim against any of the UH Parties and agree to forever discharge the UH Parties from any liability arising from such claims. If applicable law prohibits the waiver of certain rights or claims, this waiver shall be enforced to the maximum extent permitted by applicable law and shall not affect any remaining provisions. This waiver operates independently of and in addition to the Limitation of Liability in Section 9.
11. Indemnification. By registering for, participating in, and/or attending the Event, you agree to indemnify, defend, and hold harmless the UH Parties from and against any and all claims, demands, actions, suits, damages, losses, costs, lawsuits, fines, penalties, liabilities, and expenses (including reasonable attorneys’ fees) arising from or relating to: (i) your acts, omissions, or conduct at the Event, including but not limited to, your negligence, willful misconduct, or violation of any rule, law, policy, or regulations; (ii) your breach of these Terms; (iii) your violation of any third-party rights, including but not limited to intellectual property or privacy rights; (iv) damage, loss of theft of property caused by you at the Venue or to any third party at the Event; (v) claims related to the Venue, including its rules, policies, acts, or omissions, to the extent permitted by law; and (vi) acts or omissions of other Participants, third parties, or Venue personnel in attendance at the Event, except to the extent caused by the gross negligence or willful misconduct of a UH Party. This indemnification obligation shall survive the conclusion of the Event and your participation in it.
12. Privacy Policy. By submitting your details during the registration process for the Event, you agree to allow Unreasonable Hospitality to process your personal information provided in such registration in accordance with Unreasonable Hospitality’s privacy policy (available at https://www.unreasonablehospitality.com/privacy-policy).
13. General.
13.1 Governing Law. These Terms shall be governed by the laws of the State of Tennessee.
13.2 Arbitration. All claims and disputes arising out of or relating to these Terms shall be resolved exclusively through binding arbitration in Nashville, Tennessee, USA, in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted on a confidential basis. The arbitrator’s decision or award shall be in writing and include a detailed explanation of the findings of fact and conclusions of law. The award shall also address the allocation of costs, expenses, and reasonable attorneys' fees. A written record of the arbitration hearing shall be maintained. Any arbitration award may be confirmed and enforced in a court of competent jurisdiction. This arbitration agreement shall be governed by and interpreted under the laws of the State of Tennessee, without regard to its conflict of law principles. The arbitration shall be conducted by a single arbitrator appointed pursuant to the American Arbitration Association’s rules. You shall not have the right to bring or participate in any class, collective, or representative action. YOU IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR ANY TRANSACTIONS CONTEMPLATED HEREIN.
13.3 Legal Remedies. A breach of any of the terms of these Terms by you shall entitle Unreasonable Hospitality to all available legal remedies.
13.4 Severability. If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be enforced to the fullest extent permitted by law to reflect the intent of Unreasonable Hospitality, and the remaining provisions shall remain in full force and effect. The failure of Unreasonable Hospitality to enforce any provision of these Terms shall not be deemed a waiver of that provision or any other rights under these Terms.
13.5 Headings. Headings are used in these Terms for reference purposes only and shall not be considered when interpreting these Terms.
13.6 Consent to Electronic Communication. You agree that Unreasonable Hospitality may provide electronic communications to you in connection with these Terms, the Event, and your participation in, attendance at, and registration for the Event.
BY REGISTERING FOR, ATTENDING, AND/OR PARTICIPATING IN THE EVENT, YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTOOD ALL OF THE TERMS AND THAT YOU ARE VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE.
